At the Company’s AGM held on the 15 May 2024, shareholders approved the making by the Company for what is called an ’Odd-lot’ offer. The approval granted at the AGM facilitated a share buy-back scheme whereby the Company could acquire small shareholdings from Eligible Odd-Lot Holders (those shareholders holding 100 shares or less and resident in Ireland, United Kingdom, Isle of Man or Channel Islands).

The purpose and rational for introducing the Odd-lot offer was set out in the AGM circular to Shareholders dated 3 April 2024 (see document list below) but for the most part, facilitated Eligible Odd-lot Holders to dispose of their shares without dealing costs which otherwise make it uneconomic to do so.

The Company launched the Odd-lot offer on the 6 September 2024 and it closed on the 4 October 2024 (noon). Eligible Odd-lot Holders were given the choice to:

  • Have their Odd-lot holdings purchased by the Company by taking no action.
    Or
  • Retain their Odd-Lot holdings by submitting an ‘Opt-Out’ form which was issued to all Eligible Odd-lot Holders by post.

Eligible Odd-lot Holders who took no action had their shares purchased by the Company at the Offer Price of €1.74 per share (or £1.47 per share if resident in the UK) and a cheque was posted to those shareholders on the 21 October 2024.
